While the duties of Crown agency directors are generally the same as in the private sector, the organizational mandate, shareholder control and operational environment are quite different. Canada's Not-for-profit Corporations Act


Ottawa Chapter Luncheon

Description:
•  A presentation and discussion led by:

- Andrew Pritchard, Senior Partner, Norton Rose Canada LLP
- Oliver Moore, Associate Lawyer, Business Law Group, Norton Rose Canada LLP.

The presentation will provide an overview of the changes and salient features of the new CNCA, with an emphasis on areas in which the law has changed. (The new Canada Not-for-profit Corporations Act (the "CNCA") came into force in October 2011.)

We will also address members rights and governance, areas where the CNCA has made notable changes to the law. For instance, even non-voting members will have a right to vote on certain fundamental corporate changes. Ex officio directors will no longer be permitted. The CNCA also clarifies directors' duties and liabilities.

Managing the CEO and Succession Planning


BC Chapter Breakfast

Description:
•  One of the key roles for any Board is to appoint the CEO,work strategically with that CEO, and develop succession plans in the normal course of business and for those situations where sudden or emergency situations arise.

These responsibilities can be very challenging for a Board. When things go well, it could be tempting to assume they always will. When things are not going well, or a company is in a crisis, it may be hard for the Board to separate the need to address the performance of the company, from the need to manage the CEO. Arguably, the best approach is for the Board to always work steadily on planning succession, but if this is done in the wrong way it can jeopardize the Board/CEO relationship.

This panel of experienced Directors and executives will share their perspectives about how a Board can best discharge these very important responsibilities.
