Carol Stephenson, OC

Director, General Motors Company, Intact Financial Services Inc., and Maple Leaf Foods Inc.

In a forty-year career that has seamlessly spanned private and public sector leadership roles, Carol Stephenson was a highly respected CEO, who played a critical part in restructuring the telecommunications industry; a visionary, who helped transform business education serving as Dean of the Ivey Business School at Western University from 2003-2013.

Prior to joining Ivey, Stephenson spent 30 years in the telecommunications industry, advancing through a series of management positions to join the executive ranks of Bell Canada in 1988. From 1995 to 1998, as President and CEO of Stentor Resource Centre Inc., she led the national marketing and technology development centre for Canada’s nine telecommunications companies. Then, as President and CEO of Lucent Technologies Canada from 1999 to 2003, she spearheaded the team that succeeded in tripling Lucent’s market share in Canada despite an industry downturn.

Stephenson, a Corporate Director, currently serves on the Boards of several leading companies. She is a Director of General Motors Company, Maple Leaf Foods Inc., and  Intact Financial Services Inc. Stephenson was Chair of the Ontario Research Fund Advisory Board and was also a member of the Board of Directors of the Vancouver Olympic Games Organizing Committee (VANOC). She currently serves on the Board of Governors of the Stratford Festival.

She has earned significant recognition for her community work and industry involvement over the years, including induction into Canada’s Telecommunications Hall of Fame, London’s Business Hall of Fame, Women of Influence’s Top 25 Women of Influence, and National Post’s 50 Most Powerful Women. In 2009, she was appointed an Officer of the Order of Canada, and in 2012 received the Queen Elizabeth II Diamond Jubilee Award.

Stephenson, a graduate of the University of Toronto, successfully completed the Executive Program at the Graduate School of Business Administration, University of California at Berkeley, as well as the Advanced Management Program at Harvard Business School. She has received honorary degrees from both Ryerson University and Western University.



Scott Munn, CFA

Scott founded the Calgary office of Hugessen. He has been a lead advisor Compensation Committees across Canada as a Hugessen Partner and as a National Partner for Mercer. While advising boards and executive teams over the past 20+ years, Scott has been involved in all aspects of executive compensation, performance goal setting /evaluation and governance. His clients include large and midsized publicly traded companies as well as larger privately held and public sector organizations. He is a frequent speaker and contributor of intellectual capital on a broad range of topics around governance, compensation program design, pay and performance linkage and measurement. Scott has been a faculty member for the Institute of Corporate Directors’ for the past 15 years.



Georges Soaré, ICD.D 

Partner, Hugessen Consulting


Georges is an experienced executive compensation consultant with a wide variety of public and private clients across Canada.  Prior to joining Hugessen as a founding Partner in 2006, he was an accomplished professional in the financial services sector including in private equity and investment banking.  He has extensive experience as a board member, including as a member and/or chairman of Compensation and Audit Committees.  He is well versed in corporate strategy, governance, valuation, business performance measurement, and executive compensation.

Georges holds a BA from the University of Toronto, an MBA from Schulich School of Business and a JD from Osgoode Hall Law School.  He is a member of the Law Society of Upper Canada.  Georges is a faculty member of the ICD’s DEP and has his ICD.D designation.
