CEO Compensation and Performance Oversight: A Boardroom Perspective
One of the board's most important responsibilities is ensuring that executive compensation aligns with organizational strategy, performance, and long-term value creation. Yet many directors find CEO compensation frameworks, terminology, and governance practices complex and difficult to navigate.
Join us for this practical and engaging Lunch & Learn led by Heather Sully, CPHR, ICD.D, who has held the roles of Chief People Officer and Chair of the Human Resources Committee for several boards. This session will explore the board's role in overseeing CEO performance and compensation, with a particular focus on the responsibilities of Human Resources and Compensation Committees (HRCCs). Participants will gain a clearer understanding of key compensation concepts including short-term and long-term incentive plans (STIPs and LTIPs), total rewards, compensation philosophies, market benchmarking, and performance measurement.
Attendees will also learn how compensation and performance oversight work together through the annual governance cycle and how these practices can be applied in organizations of different sizes, including not-for-profits and smaller enterprises. Through practical examples and interactive discussion, directors will leave with greater confidence in evaluating CEO compensation programs and fulfilling one of the board's most critical governance responsibilities.
