Dos and Don'ts of Board Committees
Presented by the ICD Edmonton Chapter, in partnership with the BC and Calgary Chapters
Well-designed board committees can turn good governance into meaningful action. But when committees lack clear purpose, the right expertise, or effective processes, they can quickly become a drain on board time and resources. As boards deal with increasing levels of complexity, it is time to re-think, evolve or modernize committees.
This session will explore practical ways to build committees that strengthen board oversight, support better decision-making, elevating board effectiveness and create meaningful value—without duplicating management or board roles or creating unnecessary layers of governance.
Directors will gain practical guidance on defining committee mandates, recruiting for the right skills, keeping committees focused and effective, and ensuring clear accountability to the board. We’ll also examine common pitfalls—from oversized or unfocused committees to “shadow boards”—and how to avoid them.
You will come away with practical insights, ideas and resources from experienced directors that you can apply to your organization’s board committee structure and overall governance.
