Whether serving a large public corporation or small non-profit, boards of directors share common foundational elements that can ensure proper functioning and performance. This session will outline and discuss a few key fundamentals in designing board structures and ongoing functioning. It will also provide the foundation for a potential follow-up session where selected topics can be considered and evaluated in more detail. Topics covered in Part I will include:
  • The legal landscape and its implications for boards.
  • Board structure/operation in relation to risk.
  • High level evaluation of additional topics that can be more deeply explored in Part II.
